Welcome to RoadTalk
Welcome to RoadTalk (“RoadTalk,” “we,” “our,” or “us”).
RoadTalk is a social networking and communication platform designed primarily for truck drivers and members of the trucking community to connect, communicate, build friendships, expand professional networks, share experiences, exchange information, and participate in conversations relating to trucking and life on the road.
These Terms of Service (“Terms”) govern your access to and use of the RoadTalk mobile application, website, software, features, content, and related services (collectively, the “Service”).
By creating an account, accessing, downloading, or using the Service, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and the RoadTalk Privacy Policy. If you do not agree to these Terms or the Privacy Policy, you must not access or use the Service.
Please read these Terms carefully before using RoadTalk.
1. Eligibility
RoadTalk is intended only for individuals who are eighteen (18) years of age or older.
By creating an account or accessing or using the Service, you represent and warrant that:
- You are at least eighteen (18) years old;
- You have the legal capacity to enter into a binding agreement;
- The information you provide to RoadTalk is accurate and truthful to the extent you provide information;
- You will comply with these Terms and all applicable federal, state, local, and international laws and regulations; and
- You are not prohibited by applicable law from using the Service.
During account creation, RoadTalk requires users to affirm that they are at least eighteen (18) years old and agree to the Terms and Privacy Policy. RoadTalk records the date and time of that affirmation. RoadTalk does not currently require users to provide their date of birth as part of account creation.
RoadTalk does not knowingly permit individuals under eighteen (18) years of age to use the Service.
If RoadTalk becomes aware that an account belongs to an individual under eighteen (18), RoadTalk may suspend or terminate that account and take other reasonable measures consistent with applicable law.
RoadTalk may also take reasonable steps to verify identity, eligibility, or other information where necessary to protect the Service, prevent fraud or abuse, address security concerns, enforce these Terms, or comply with applicable legal obligations.
2. About RoadTalk
RoadTalk provides a platform through which users may, depending on the features available at the time:
- Connect with other drivers and members of the trucking community;
- Create and maintain a user profile;
- Discover other users based on available location-sharing settings;
- Share experiences and information relating to trucking and life on the road;
- Communicate through text messaging, voice messages, voice profiles, push-to-talk features, public conversations, and other communication features;
- Share photographs and other permitted user content;
- Indicate whether they are currently on the road;
- Identify or share a home trucking corridor;
- Participate in trucking-related conversations and communities; and
- Use other social, communication, and networking features made available by RoadTalk.
Features may change, be modified, suspended, or discontinued from time to time.
RoadTalk is not:
- A dating application or matchmaking service;
- An employment agency or recruiting agency;
- A transportation broker;
- A freight broker;
- A dispatch service;
- A background-check provider;
- A law-enforcement service;
- An emergency communication service;
- A medical, legal, or financial advisory service;
- A guarantee of personal, professional, or transportation safety; or
- A substitute for appropriate emergency, roadside, transportation, or professional services.
RoadTalk provides technology that facilitates communication and connection between users. RoadTalk does not control, supervise, endorse, verify, or guarantee the identity, conduct, statements, qualifications, employment status, or intentions of users except to the limited extent expressly stated for particular verification or moderation features.
Any interaction or communication between users, whether online or offline, is undertaken at the user’s own discretion and risk.
RoadTalk should not be relied upon for emergency communications. If you are experiencing an emergency, contact the appropriate emergency service or other qualified emergency resource rather than relying on RoadTalk.
3. Acceptance of Terms and Electronic Agreement
By creating an account or accessing or using RoadTalk, you acknowledge and agree that:
- You have read and understood these Terms;
- You agree to comply with these Terms;
- You agree to the RoadTalk Privacy Policy;
- You understand that RoadTalk provides a social networking and communication platform and does not guarantee the conduct or reliability of other users;
- You consent to receive electronic communications from RoadTalk relating to your account, security, transactions, policies, technical matters, and Service-related matters;
- You agree that electronic acceptance of these Terms may have the same legal effect as a written signature to the extent permitted by applicable law; and
- You are responsible for reviewing updates to these Terms and the Privacy Policy.
Where legally permitted, your continued use of the Service after an updated version of these Terms becomes effective constitutes acceptance of the updated Terms.
If you do not agree to an updated version of these Terms, you must stop using the Service and may request deletion of your account in accordance with the applicable account-deletion procedures.
If you access or use RoadTalk on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, “you” includes both you individually and the entity you represent, to the extent applicable.
4. Creating and Maintaining Your Account
Certain RoadTalk features require you to create an account.
RoadTalk currently uses third-party authentication services to facilitate account registration and authentication, which may include phone-number verification through a one-time passcode and authentication through services such as Sign in with Apple or Google.
Depending on the authentication method you select, RoadTalk may receive and retain limited account information necessary to create and maintain your account, including an authentication-provider user identifier and, for phone-based authentication, your verified telephone number, as described further in the RoadTalk Privacy Policy.
You agree to:
- Provide truthful and accurate information when you provide information to RoadTalk;
- Keep information associated with your account reasonably current;
- Maintain the security of your account and authentication methods;
- Take reasonable precautions to prevent unauthorized access to your account;
- Notify RoadTalk promptly if you believe your account has been compromised; and
- Accept responsibility for activity occurring through your account, except to the extent caused by RoadTalk’s failure to maintain reasonable security measures or as otherwise required by applicable law.
You may not:
- Create an account using intentionally false or misleading information;
- Create an account for another person without authorization;
- Impersonate another person, driver, company, organization, or other entity;
- Use another person’s account without authorization;
- Sell, rent, lease, transfer, or otherwise provide unauthorized access to your account;
- Create multiple accounts for fraudulent, deceptive, abusive, or prohibited purposes;
- Attempt to circumvent account restrictions, suspensions, or bans; or
- Use another person’s authentication credentials or verification information.
RoadTalk reserves the right to refuse registration, restrict features, suspend, or terminate an account where RoadTalk reasonably believes that the account violates these Terms, creates a security or safety risk, involves fraud or abuse, or is otherwise inconsistent with applicable law or legitimate platform operations.
5. Usernames, Profiles, and Publicly Visible Information
RoadTalk allows users to create profiles and voluntarily provide information such as:
- Display name;
- Profile photograph;
- Voice biography;
- Home trucking corridor;
- “On the road” status;
- Location-sharing status;
- Verification status or badge, where applicable; and
- Other information or content that RoadTalk may make available as profile features.
Many profile fields are optional. You are responsible for deciding what information you provide and what information you make visible to other users.
Depending on your settings and the applicable RoadTalk feature, information visible to other users may include your display name, profile photograph, verification badge, voice biography, home corridor, join date, “on the road” status, and certain location or distance information.
RoadTalk’s location-sharing features may allow other users to see your approximate distance or map position depending on the location-sharing mode you select. The operation and limitations of location-sharing features are described further in the RoadTalk Privacy Policy.
You should carefully consider the information you choose to make available to other users.
You agree that information and content you publish or make visible through your profile must not:
- Impersonate or falsely represent another person or entity;
- Be intentionally deceptive or fraudulent;
- Violate another person’s privacy, publicity, intellectual-property, or other legal rights;
- Contain unlawful threats or other unlawful material;
- Be used to facilitate fraud, harassment, abuse, or other prohibited conduct; or
- Otherwise violate these Terms or applicable law.
RoadTalk does not guarantee that information provided by users is accurate, complete, current, or reliable.
Protect Your Sensitive Information
RoadTalk strongly recommends that you do not publicly disclose sensitive personal information through your profile, posts, messages, voice recordings, photographs, or other user content unless you understand the risks associated with doing so.
This may include, for example:
- Home addresses;
- Personal telephone numbers;
- Financial-account information;
- Passwords or authentication credentials;
- Government identification numbers;
- Driver’s-license information;
- Social Security numbers;
- Private employment information;
- Personal information about family members; or
- Other information that could reasonably be used to identify, impersonate, locate, or harm you or another person.
RoadTalk cannot guarantee that information you voluntarily disclose to another user will remain confidential after you share it with that user.
6. Account Security
You are responsible for taking reasonable steps to protect your account and authentication information.
RoadTalk uses third-party authentication and security mechanisms designed to help protect accounts, but no authentication or security system can be guaranteed to be completely secure.
You agree not to:
- Attempt to access another user’s account without authorization;
- Circumvent or disable security features;
- Attempt to obtain another user’s authentication credentials;
- Interfere with account-protection mechanisms;
- Attempt to gain unauthorized access to RoadTalk’s systems, databases, servers, APIs, or administrative systems;
- Use automated methods to access restricted portions of the Service without authorization; or
- Assist another person in engaging in unauthorized access or security circumvention.
If you believe that your account has been compromised, accessed without authorization, or otherwise subjected to a security incident, you should notify RoadTalk promptly through the available support or contact channels.
RoadTalk may temporarily restrict access to an account or feature when reasonably necessary to investigate suspected unauthorized access, fraud, abuse, security threats, or violations of these Terms.
Nothing in this section limits any rights or remedies available to you under applicable law.
7. User Conduct and Community Standards
RoadTalk is intended to provide a respectful, useful, and safe community for truck drivers and members of the trucking community. You are expected to use the Service responsibly and to treat other users with respect.
You agree to use RoadTalk only for lawful purposes and in accordance with these Terms.
You may not use RoadTalk to engage in conduct that violates applicable law, infringes the rights of others, threatens the safety or security of users or the Service, or otherwise undermines the RoadTalk community.
7.1 Harassment, Abuse, and Threats
You may not:
- Harass, threaten, intimidate, bully, or abuse another person;
- Repeatedly contact another user after being asked to stop;
- Engage in stalking, targeted harassment, or unwanted monitoring of another person;
- Encourage, organize, or threaten violence or other unlawful conduct;
- Make credible threats against another person or group;
- Encourage another person to harm themselves or others;
- Engage in discriminatory or hateful conduct directed at a person or protected group;
- Use RoadTalk to facilitate abuse, coercion, exploitation, or intimidation; or
- Attempt to use RoadTalk’s location or communication features to facilitate stalking, harassment, or other unlawful conduct.
RoadTalk may remove content, restrict features, suspend accounts, permanently terminate accounts, or take other appropriate action in response to violations of these Terms.
8. Prohibited Content and Activities
You may not upload, post, transmit, distribute, promote, request, facilitate, or otherwise use the Service for content or activities that:
- Violate any applicable federal, state, local, or international law or regulation;
- Promote or facilitate unlawful activity;
- Encourage violence or criminal conduct;
- Contain fraud, scams, phishing, or deceptive schemes;
- Facilitate trafficking or unlawful sale of goods or services;
- Contain malware, viruses, spyware, ransomware, or other malicious code;
- Attempt to damage, disrupt, overload, or interfere with RoadTalk systems or infrastructure;
- Infringe or misappropriate another person’s intellectual-property rights;
- Expose another person’s private or confidential information without appropriate authorization;
- Contain sexually explicit material prohibited by RoadTalk or applicable law;
- Sexually exploit, abuse, or endanger minors;
- Impersonate another person, business, organization, or public figure;
- Contain intentionally deceptive or fraudulent information;
- Facilitate identity theft or unauthorized access to accounts or systems;
- Facilitate the unauthorized collection, sale, or misuse of personal information;
- Facilitate illegal gambling, controlled-substance transactions, weapons transactions, or other unlawful activities;
- Encourage or facilitate self-harm or violence;
- Attempt to circumvent RoadTalk’s safety, moderation, security, or account restrictions; or
- Otherwise violate these Terms or applicable law.
RoadTalk may take appropriate action when it determines that content or conduct presents a legal, security, safety, or community risk.
9. Fraud, Scams, and Financial Safety
RoadTalk prohibits fraudulent, deceptive, or intentionally misleading conduct.
You may not use RoadTalk to:
- Request or solicit money through fraud or deception;
- Impersonate another person for financial or personal benefit;
- Promote fraudulent employment opportunities;
- Conduct investment, financial, romance, or other scams;
- Sell fraudulent or counterfeit goods or services;
- Obtain another person’s financial or authentication information through deception;
- Direct users to fraudulent websites or services;
- Misrepresent your employment, business, professional qualifications, or affiliation for fraudulent purposes; or
- Otherwise use RoadTalk to defraud or financially exploit another person.
RoadTalk does not verify every user, business, employment opportunity, offer, statement, recommendation, or transaction appearing on the Service.
RoadTalk is not a financial-services provider, employment verification service, investment adviser, or marketplace intermediary unless expressly identified as such for a particular feature.
You are responsible for independently evaluating any financial, employment, business, or personal opportunity presented to you through RoadTalk.
Never send money, provide banking credentials, disclose authentication codes, or provide sensitive personal information to another user unless you independently determine that doing so is appropriate and safe.
RoadTalk is not responsible for losses resulting from transactions or interactions between users.
10. Spam, Advertising, and Unauthorized Commercial Activity
You may not use RoadTalk to:
- Send unsolicited bulk or promotional messages;
- Spam users, groups, rooms, or other community features;
- Operate bots or automated messaging systems without authorization;
- Generate fake engagement, including artificial likes, views, messages, or other interactions;
- Scrape or collect user information for marketing purposes;
- Build marketing lists from RoadTalk users without appropriate authorization;
- Promote products, services, businesses, or commercial opportunities in violation of RoadTalk policies;
- Distribute pyramid schemes, deceptive referral programs, or fraudulent business opportunities;
- Sell, rent, license, or transfer RoadTalk user information;
- Use RoadTalk primarily to redirect users to unauthorized commercial services; or
- Engage in other unauthorized commercial activity.
RoadTalk may introduce advertising, business profiles, sponsorships, partnerships, or other commercial features in the future. Such features may be governed by additional terms, policies, or disclosures.
11. Security and Technical Restrictions
You may not:
- Attempt to gain unauthorized access to the Service or another user’s account;
- Test, scan, probe, or exploit security vulnerabilities without express written authorization from RoadTalk;
- Reverse engineer, decompile, disassemble, modify, or create derivative works of RoadTalk software except to the extent such restriction is prohibited by applicable law;
- Circumvent access controls, authentication mechanisms, rate limits, or other security protections;
- Use scraping tools, crawlers, spiders, bots, or automated systems to collect information from the Service without authorization;
- Introduce viruses, malware, malicious code, or other harmful material;
- Interfere with RoadTalk servers, networks, databases, APIs, or infrastructure;
- Attempt to bypass account suspension or termination;
- Attempt to gain access to administrative or internal systems;
- Conduct denial-of-service or similar attacks;
- Interfere with another user’s use of the Service; or
- Assist another person in engaging in any prohibited technical activity.
Violations may result in immediate restriction, suspension, or termination of an account and may be reported to appropriate authorities when RoadTalk reasonably believes such reporting is appropriate or legally required.
12. User Reporting and Safety Tools
RoadTalk encourages users to report content, accounts, or behavior that may violate these Terms or create a safety concern.
Depending on the features available, users may report:
- Harassment or abuse;
- Threats;
- Fake or deceptive accounts;
- Scams or fraudulent activity;
- Spam;
- Illegal content or activity;
- Safety concerns;
- Intellectual-property violations;
- Misuse of location features;
- Other violations of these Terms; or
- Other content or conduct that users reasonably believe should be reviewed by RoadTalk.
When a report is submitted, RoadTalk may review the information available to it and determine what action, if any, is appropriate.
RoadTalk may:
- Remove or restrict content;
- Limit particular account or communication features;
- Issue warnings;
- Require additional information or verification;
- Suspend an account;
- Permanently terminate an account;
- Preserve information where reasonably necessary for security, legal, or investigative purposes; or
- Cooperate with valid legal requests from government authorities or law enforcement.
RoadTalk is not required to remove content merely because it has been reported. RoadTalk may consider the context, applicable law, these Terms, safety concerns, and other relevant circumstances when determining whether to take action.
13. Our Right to Moderate Content
RoadTalk may, but does not have an obligation to:
- Review content or reports;
- Use automated moderation or safety tools;
- Conduct human review;
- Investigate suspected violations;
- Remove or restrict access to User Content;
- Restrict particular features;
- Suspend or terminate accounts; or
- Take other reasonable measures to protect users, third parties, or the Service.
RoadTalk may take action before completing a full investigation when reasonably necessary to address an immediate security, safety, legal, or operational concern.
RoadTalk does not guarantee that every violation, harmful interaction, or inappropriate piece of content will be identified or removed immediately.
The fact that content remains available does not mean that RoadTalk has reviewed, approved, verified, or endorsed that content.
Users remain responsible for the content they create, upload, transmit, or share.
14. No General Obligation to Monitor
Although RoadTalk may use moderation tools, automated systems, human review, and user reports, RoadTalk does not have a general obligation to monitor every communication, profile, message, voice recording, photograph, post, or other User Content.
The size and nature of an online community make it impossible to guarantee that every violation will be discovered or addressed immediately.
RoadTalk may nevertheless review information when reasonably necessary to enforce these Terms, respond to reports, protect users, investigate suspected abuse or fraud, maintain security, comply with legal obligations, or protect the Service.
Users should exercise good judgment and report concerns through available reporting mechanisms.
15. User Content
RoadTalk allows users to create, upload, post, transmit, share, or otherwise provide content through the Service.
Depending on the features available, User Content may include:
- Profile information;
- Profile photographs;
- Chat photographs;
- Voice biographies;
- Voice messages;
- Push-to-talk audio clips;
- Text messages;
- Posts and comments;
- Discussions;
- Other communications;
- Other materials submitted through RoadTalk features.
All such materials are referred to collectively as “User Content.”
Ownership of User Content
You retain ownership of the User Content you create and submit to RoadTalk, subject to the rights and licenses granted in these Terms and any rights that may arise from your use of third-party services.
RoadTalk does not claim ownership of your User Content merely because you submit it to the Service.
License to RoadTalk
By submitting User Content to RoadTalk, you grant RoadTalk a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, distribute, and otherwise use your User Content only as reasonably necessary to operate, provide, maintain, secure, improve, and administer the Service and as otherwise permitted by these Terms or applicable law.
This license allows RoadTalk, for example, to:
- Store your User Content;
- Display your profile information to other users according to applicable settings;
- Deliver messages and other communications to their intended recipients;
- Process photographs and audio required to provide applicable features;
- Maintain and operate communication and community features;
- Protect the Service and users against fraud, abuse, and security threats; and
- Perform technical operations necessary to provide the Service.
RoadTalk will not use private User Content for unrelated advertising purposes without an appropriate legal basis or disclosure.
Where User Content is publicly or broadly visible through the Service, you understand that other users may view, copy, screenshot, record, or redistribute that content outside RoadTalk, subject to applicable law.
The license described above continues for as long as reasonably necessary to provide the Service and may continue for limited periods after deletion where reasonably necessary for legal compliance, security, fraud prevention, dispute resolution, technical operations, or backup purposes, as further described in the Privacy Policy.
16. Your Responsibility for User Content
You are solely responsible for the User Content you submit through RoadTalk.
By submitting User Content, you represent and warrant that:
- You own the content or have all rights, licenses, permissions, and consents necessary to submit and use it as contemplated by these Terms;
- Your content does not unlawfully violate another person’s privacy, publicity, intellectual-property, contractual, or other rights;
- Your content complies with these Terms and applicable law;
- Your content is not knowingly fraudulent or intentionally deceptive;
- You have obtained any permissions required before recording, photographing, or sharing another person or their communications; and
- You understand the audience and visibility associated with the feature through which you submit the content.
You understand that content shared through RoadTalk may potentially be viewed, copied, captured, recorded, or redistributed by other users.
RoadTalk cannot guarantee that another user will not misuse, copy, save, or redistribute User Content that you voluntarily make available to that user.
17. Content Removal
RoadTalk reserves the right, but does not assume an obligation, to remove, disable, restrict, modify, or limit access to User Content when RoadTalk reasonably believes that the content:
- Violates these Terms;
- Violates applicable law;
- Infringes or misappropriates another person’s rights;
- Creates a security or safety risk;
- May materially harm users or the RoadTalk community;
- Involves fraud, abuse, harassment, or prohibited conduct;
- Interferes with operation of the Service; or
- Creates a legal or regulatory risk for RoadTalk or another person.
RoadTalk may take action without prior notice when reasonably necessary to protect users, comply with legal obligations, address security concerns, or maintain the integrity of the Service.
Where appropriate and legally permitted, RoadTalk may provide notice or an opportunity to appeal or request review of certain enforcement decisions. RoadTalk is not required to provide advance notice when doing so would create additional risk or conflict with a legal obligation.
18. Feedback and Suggestions
If you voluntarily provide RoadTalk with feedback, ideas, suggestions, recommendations, proposed features, or other comments regarding the Service (“Feedback”), you grant RoadTalk a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable right to use, reproduce, modify, adapt, publish, distribute, display, and otherwise use that Feedback for any lawful purpose without compensation or attribution to you.
RoadTalk may use Feedback to:
- Improve existing features;
- Develop new features;
- Modify or enhance the Service;
- Develop products or services;
- Improve safety, security, and user experience; or
- Conduct other legitimate business activities.
You understand that Feedback is provided voluntarily and does not create any ownership interest in RoadTalk or any obligation for RoadTalk to use or compensate you for the Feedback.
19. Messaging and Communication Features
RoadTalk may provide communication features including, depending on availability:
- One-to-one messaging;
- Group or community conversations;
- Public or semi-public chat areas;
- Voice messages;
- Push-to-talk audio features;
- Voice profiles;
- Photos and other chat attachments; and
- Other communication tools.
Users are responsible for their own communications and User Content.
RoadTalk does not guarantee:
- That messages or other communications will always be delivered;
- That communications will always be available;
- That messages will remain available indefinitely;
- That another user is truthful or accurately represents themselves;
- That another user is who they claim to be;
- That a communication will be free from errors, interruptions, or technical problems; or
- That communications will remain confidential after being shared with another user.
Certain communications and User Content may be processed or stored by third-party service providers used by RoadTalk to provide communication functionality. Additional information is provided in the RoadTalk Privacy Policy.
Users should exercise caution when communicating with others and should not disclose sensitive personal information unless they understand the risks and are comfortable doing so.
20. Voice Features and Audio Communications
RoadTalk may provide voice-based features, including voice biographies, voice messages, push-to-talk clips, voice conversations, or other audio functionality.
By using voice features, you agree that:
- You are responsible for the content of your communications;
- You will not use voice features for harassment, threats, fraud, unlawful activity, or other prohibited conduct;
- You will comply with applicable laws governing communications and recordings;
- You will obtain any consent required before recording or sharing another person’s voice or communication; and
- You will not knowingly use RoadTalk to violate another person’s privacy or recording rights.
Certain jurisdictions have laws governing the recording, interception, storage, disclosure, or distribution of communications. You are responsible for understanding and complying with all applicable laws before recording, transmitting, or sharing communications.
RoadTalk may store certain audio User Content as necessary to provide the applicable feature. The applicable retention periods and storage practices are described in the Privacy Policy.
RoadTalk does not guarantee the availability, quality, accuracy, or uninterrupted operation of any voice feature.
21. Location Services
RoadTalk may provide location-based features designed to help users discover nearby members of the trucking community, identify regional or corridor activity, participate in truck-stop communities, or use other location-related functionality.
Depending on the user’s selected settings and permissions, RoadTalk may support:
- Precise location sharing;
- Approximate location sharing;
- Nearby-driver discovery;
- Map-based features;
- Regional or corridor features;
- Truck-stop presence features; and
- Other location-based functionality.
Location sharing requires applicable device permissions. Users may have the ability to select among available location-sharing modes, including Active, Coarse, and Invisible, depending on the version of the Service.
In general:
- Active may allow RoadTalk to use precise location information for applicable location-based features;
- Coarse may use an approximate location rather than the user’s precise location; and
- Invisible prevents the user’s location from being displayed through applicable discovery features.
RoadTalk may support both foreground and background location functionality when the user separately grants the required device permission.
Users who enable background location understand that the device may transmit location updates while the application is running in the background, subject to the user’s device permissions, RoadTalk’s settings, and applicable operating-system limitations.
RoadTalk does not maintain a historical GPS time-series for users. As described in the Privacy Policy, RoadTalk generally maintains a current last-known location rather than a historical record of every location update.
You acknowledge that:
- Location information may be inaccurate or delayed;
- GPS and other location technologies have inherent limitations;
- Device settings, permissions, connectivity, and operating-system behavior may affect location accuracy;
- Other users may receive location or distance information depending on your selected settings;
- Sharing location information may allow others to infer your approximate whereabouts; and
- You are responsible for choosing the location-sharing setting that is appropriate for you.
RoadTalk does not guarantee your safety, privacy, or anonymity when you use location-based features.
You should not use RoadTalk’s location information to stalk, monitor, threaten, harass, or otherwise harm another person.
22. Meeting Other RoadTalk Users
RoadTalk is designed to facilitate connections between people, and users may choose to interact with one another offline.
If you choose to meet another RoadTalk user, you do so voluntarily and at your own risk.
RoadTalk does not guarantee another user’s:
- Identity;
- Age;
- Employment history;
- Driving record;
- Criminal history;
- Professional qualifications;
- Intentions;
- Character;
- Conduct; or
- Personal claims.
RoadTalk is not responsible for offline meetings, transactions, relationships, disputes, injuries, losses, or other interactions between users, except to the extent liability cannot lawfully be excluded.
For your safety, RoadTalk recommends that you:
- Meet in a public location when reasonably possible;
- Tell a trusted person where you are going;
- Avoid sharing unnecessary financial or sensitive personal information;
- Avoid giving another person access to your home, vehicle, personal property, accounts, or confidential information unless you are comfortable doing so;
- Consider verifying a person’s identity independently before meeting;
- Exercise additional caution when meeting someone you have never met in person; and
- Leave or seek assistance if you feel unsafe.
23. No Emergency Service
RoadTalk is not an emergency communication service and is not designed to provide guaranteed real-time emergency assistance.
You must not rely on RoadTalk for:
- Emergency assistance;
- Accident reporting;
- Medical emergencies;
- Fire or rescue services;
- Roadside emergencies;
- Law-enforcement communication;
- Immediate safety assistance;
- Emergency dispatch; or
- Any other situation requiring guaranteed or immediate response.
RoadTalk may experience outages, delays, technical failures, connectivity problems, or other circumstances that prevent or delay communications.
If you are experiencing an emergency, contact the appropriate emergency services or qualified emergency provider directly.
24. User Verification and Background Checks
RoadTalk may offer optional verification features designed to provide users with an indication that certain information has been reviewed or verified through a RoadTalk verification process.
Where RoadTalk offers driver verification, the process may require the submission of information such as a driver’s-license number or verification documents. The collection and handling of such information are described in the RoadTalk Privacy Policy.
A verification badge or similar designation does not constitute a guarantee of a user’s identity, character, employment, driving history, criminal history, qualifications, or safety.
Unless RoadTalk expressly states otherwise for a particular feature, RoadTalk does not conduct comprehensive criminal background checks, employment verification, driving-record checks, or professional-license verification on every user.
Users should independently verify information before relying upon it for employment, business, financial, personal, or safety-related decisions.
RoadTalk may suspend or remove a verification designation if information is determined to be inaccurate, outdated, fraudulent, incomplete, or otherwise inconsistent with the applicable verification requirements.
25. Intellectual Property Rights
The RoadTalk Service and its original components, including but not limited to:
- The RoadTalk name;
- RoadTalk logos, trademarks, and branding;
- Software and source code;
- Mobile applications;
- Website and website content;
- User-interface elements;
- Graphics and visual designs;
- Original text and documentation;
- Features and functionality;
- Page layouts and designs;
- Audio or other materials created by or for RoadTalk; and
- Other materials owned or licensed by RoadTalk,
are owned by RoadTalk or its licensors and are protected by applicable intellectual-property and other laws.
Except as expressly permitted by RoadTalk or applicable law, you may not:
- Copy, reproduce, modify, distribute, sell, lease, sublicense, or commercially exploit any portion of the Service;
- Reverse engineer, decompile, disassemble, or attempt to obtain source code from the Service;
- Remove or alter copyright, trademark, or other proprietary notices;
- Use RoadTalk branding without prior written authorization;
- Create derivative works based on RoadTalk’s proprietary software or materials;
- Use RoadTalk’s proprietary materials to create a competing product or service; or
- Access or use portions of the Service that you are not authorized to access.
Nothing in these Terms transfers ownership of RoadTalk’s intellectual property to you.
All rights not expressly granted to you are reserved by RoadTalk and its licensors.
26. Trademarks
“RoadTalk” and any related names, logos, slogans, designs, service marks, and branding elements are owned by RoadTalk or its licensors, or are used by RoadTalk under applicable rights.
You may not use RoadTalk trademarks or branding:
- In a misleading or deceptive manner;
- In a manner that suggests unauthorized sponsorship, endorsement, affiliation, or partnership;
- As part of a business, product, service, domain name, social-media account, or application without authorization;
- In connection with unlawful, fraudulent, defamatory, or harmful activities; or
- In any manner likely to cause confusion regarding the source or affiliation of a product or service.
Nothing in these Terms grants you ownership of or a license to RoadTalk trademarks except as expressly authorized in writing.
27. Copyright Complaints and DMCA Policy
RoadTalk respects intellectual-property rights and expects users to do the same.
If you believe that material available through RoadTalk infringes your copyright, you may submit a copyright-infringement notice containing information required by applicable law, which may include:
- Your physical or electronic signature;
- Identification of the copyrighted work you believe has been infringed;
- Identification of the material you believe is infringing;
- Information reasonably sufficient to allow RoadTalk to locate the allegedly infringing material;
- Your name and contact information;
- A statement that you have a good-faith belief that the challenged use is not authorized by the copyright owner, its agent, or applicable law; and
- A statement, made under applicable legal standards, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.
RoadTalk may remove, disable access to, or restrict allegedly infringing material where appropriate and may take action against repeat infringers consistent with applicable law.
If RoadTalk designates a specific copyright agent, the applicable contact information will be published through RoadTalk’s website or other appropriate legal notice.
Submitting a knowingly false or materially misleading infringement claim may result in legal consequences under applicable law.
28. Third-Party Services and Integrations
RoadTalk relies on certain third-party services and technology providers to operate portions of the Service.
These may include, depending on the applicable feature:
- Authentication providers;
- Cloud hosting and storage providers;
- Communication and messaging providers;
- Mapping and location providers;
- Push-notification providers;
- Crash and performance monitoring providers;
- SMS providers; and
- Other infrastructure or technology providers.
Current third-party technologies may include services such as Auth0, AWS, GetStream, Google Maps, Firebase Cloud Messaging, Sentry, and Twilio.
The specific processing of personal information by these providers is described in the RoadTalk Privacy Policy.
Third-party services operate independently and may have their own terms, privacy policies, security practices, and limitations.
RoadTalk does not control third-party services and does not guarantee:
- Their availability;
- Their security;
- Their accuracy;
- Their performance;
- Their continued availability;
- Their compatibility with RoadTalk; or
- Their compliance with your individual expectations.
Your use of third-party services may be subject to those providers’ separate terms and policies.
RoadTalk is not responsible for third-party services except to the extent liability cannot lawfully be excluded.
29. App Store Terms
If you download or access RoadTalk through a third-party application marketplace, including the Apple App Store or Google Play Store, you acknowledge that these Terms are between you and RoadTalk and not between you and the applicable application-store provider.
Your use of RoadTalk must also comply with the applicable rules and terms of the platform through which you obtained the application.
The applicable app-store provider:
- Is not responsible for providing maintenance or support for RoadTalk except where required by applicable law;
- Is not responsible for the content or operation of RoadTalk;
- Is not responsible for addressing claims relating to RoadTalk except as required by applicable law;
- Is not responsible for investigating or resolving claims that the application infringes intellectual-property rights; and
- May be a third-party beneficiary of these Terms where required or permitted by the applicable platform terms.
If you obtained RoadTalk through an app store, any applicable purchase, refund, subscription, or account-management procedures may also be governed by that provider’s policies.
30. Payments, Subscriptions, and Future Paid Features
RoadTalk does not currently offer paid features or subscriptions through the Service.
RoadTalk may introduce paid features, subscriptions, premium memberships, digital products, advertising opportunities, or other commercial services in the future.
If paid features become available:
- Applicable pricing will be disclosed before purchase;
- Material purchase terms will be presented before you complete the transaction;
- Applicable renewal terms will be disclosed before you subscribe;
- Any applicable taxes or fees will be disclosed as required;
- Payment may be processed through the applicable app store or an authorized payment provider;
- Additional terms may apply to specific paid features; and
- Refund rights will be governed by applicable law and the terms disclosed at the time of purchase.
If a purchase is made through Apple, Google, or another third-party platform, billing, cancellation, and refund procedures may be subject to that platform’s policies.
RoadTalk may modify or discontinue paid features and pricing subject to applicable law and any contractual obligations applicable to existing purchases or subscriptions.
31. Service Availability and Changes
RoadTalk is continually developing and improving the Service.
RoadTalk may, at any time and subject to applicable law:
- Add new features;
- Modify existing features;
- Change the appearance or functionality of the Service;
- Suspend particular features;
- Remove features;
- Correct errors;
- Perform maintenance;
- Update software; or
- Discontinue portions of the Service.
You acknowledge that temporary outages, interruptions, delays, maintenance periods, connectivity problems, and technical failures may occur.
RoadTalk does not guarantee that the Service will always be:
- Available;
- Uninterrupted;
- Error-free;
- Secure;
- Accurate;
- Compatible with every device; or
- Available in every location.
RoadTalk may suspend access to all or part of the Service when reasonably necessary for maintenance, security, legal compliance, emergency response, or other legitimate operational reasons.
32. Beta Features and Testing
RoadTalk may occasionally make experimental, beta, preview, or early-access features available to selected or eligible users.
Beta features may:
- Contain errors or defects;
- Operate differently from production features;
- Experience interruptions;
- Produce unexpected results;
- Be modified without notice;
- Be discontinued at any time; or
- Be subject to additional terms or requirements.
Beta features are provided primarily for testing, evaluation, and improvement.
Unless otherwise required by applicable law, RoadTalk does not guarantee that beta features will become permanent features or that information created through beta features will remain available indefinitely.
33. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE ROADTALK SERVICE IS PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROADTALK DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF:
- MERCHANTABILITY;
- FITNESS FOR A PARTICULAR PURPOSE;
- NON-INFRINGEMENT;
- ACCURACY;
- RELIABILITY;
- AVAILABILITY;
- TITLE; AND
- QUIET ENJOYMENT.
ROADTALK DOES NOT WARRANT OR GUARANTEE THAT:
- The Service will operate continuously or without interruption;
- The Service will be secure or free from errors, defects, viruses, or other harmful components;
- Information provided through the Service will always be accurate, complete, current, or reliable;
- User-generated content will be accurate or trustworthy;
- Users will be truthful or accurately represent themselves;
- Another user’s identity, qualifications, employment, driving history, or background can be assumed from their profile;
- Interactions between users will be safe;
- Location information will always be precise or accurate;
- Communications will always be delivered or retained;
- The Service will satisfy every user’s particular requirements; or
- Any particular feature will remain available.
Nothing in this section excludes or limits any warranty or right that cannot lawfully be excluded or limited under applicable law.
34. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROADTALK AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
This limitation may apply to claims arising from or relating to:
- Your use or inability to use RoadTalk;
- Your interactions with other users;
- User Content;
- Communications between users;
- Location-based features;
- Offline meetings or interactions;
- Third-party services;
- Unauthorized access or security incidents;
- Reliance on information provided through RoadTalk;
- Account suspension or termination;
- Service interruptions;
- Loss or deletion of User Content; or
- Any other matter relating to the Service.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROADTALK’S TOTAL AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ROADTALK FOR THE SERVICE DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
This limitation does not apply to liability that cannot legally be limited or excluded under applicable law.
Some jurisdictions do not permit certain limitations of liability. Accordingly, some portions of this section may not apply to you.
35. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless RoadTalk and its owners, officers, directors, employees, contractors, affiliates, agents, licensors, and service providers from and against claims, demands, actions, liabilities, damages, judgments, losses, costs, and reasonable legal fees arising out of or relating to:
- Your use or misuse of the Service;
- Your User Content;
- Your violation of these Terms;
- Your violation of applicable law or regulation;
- Your violation of another person’s rights;
- Your interactions or transactions with other users;
- Your unauthorized use of another person’s information or content;
- Your fraud, abuse, or misconduct; or
- Your violation of any additional terms applicable to a particular feature.
RoadTalk reserves the right to assume exclusive control and defense of any matter otherwise subject to indemnification by you. You agree to reasonably cooperate with RoadTalk in any such defense.
Nothing in this section requires you to indemnify RoadTalk to the extent such an obligation is prohibited by applicable law.
36. Suspension and Termination of Accounts
RoadTalk may suspend, restrict, deactivate, or terminate your access to all or part of the Service if RoadTalk reasonably believes that:
- You violated these Terms;
- You violated applicable law;
- You provided fraudulent or materially misleading information;
- Your account creates a security or safety risk;
- You engaged in fraud, abuse, harassment, threats, or other harmful conduct;
- You attempted to compromise the Service;
- You circumvented a previous suspension or termination;
- Your conduct creates a material risk to RoadTalk, its users, or third parties; or
- Restriction or termination is otherwise reasonably necessary to protect the Service or comply with a legal obligation.
RoadTalk may take such action with or without prior notice when reasonably necessary to protect users, investigate suspected misconduct, prevent harm, maintain security, or comply with legal obligations.
Where appropriate and legally permitted, RoadTalk may provide an opportunity to request review or appeal an account-enforcement decision.
If your account is terminated:
- Your authorization to use the Service ends;
- You may lose access to User Content associated with your account;
- Certain information may be deleted or anonymized;
- Certain information may remain for limited periods where necessary for legal, security, fraud-prevention, dispute-resolution, backup, or other legitimate purposes; and
- Provisions of these Terms that by their nature should survive termination will continue to apply.
37. Account Deletion
You may request deletion of your RoadTalk account through the available account-deletion functionality or through the public account-deletion process provided by RoadTalk.

RoadTalk may require reasonable verification of your identity or account ownership before processing a deletion request in order to prevent unauthorized deletion or misuse of another person’s account.
RoadTalk’s account-deletion process may include a limited grace period before permanent deletion is completed.
Once permanent deletion is processed, RoadTalk generally intends to:
- Remove or delete the user’s account and profile information;
- Delete applicable User Content stored by RoadTalk;
- Delete applicable photographs and audio files stored in RoadTalk’s media storage;
- Delete the associated authentication identity where applicable;
- Remove the user’s current location information; and
- Anonymize certain communications that need to remain available to other participants.
Certain information may remain for a limited period where reasonably necessary for:
- Legal compliance;
- Fraud prevention;
- Security;
- Dispute resolution;
- Enforcement of these Terms;
- Protection of legal rights;
- Technical operations;
- Backup systems; or
- Other legitimate purposes permitted by applicable law.
For example, messages that you have sent to another user may remain in that user’s conversation history in anonymized form after your account is deleted.
RoadTalk may also retain limited technical information for a short period to prevent fraud or unauthorized re-creation of an account.
Additional information concerning deletion, retention periods, backups, and exceptions is provided in the RoadTalk Privacy Policy.
38. Privacy Policy
RoadTalk’s collection, use, storage, disclosure, retention, and protection of personal information are described in the RoadTalk Privacy Policy.
The Privacy Policy is incorporated into these Terms by reference.
By using RoadTalk, you acknowledge that you have been provided with an opportunity to review the Privacy Policy.
The Privacy Policy explains, among other things:
- What personal information RoadTalk collects;
- How RoadTalk uses personal information;
- How location information is handled;
- How messages, photographs, and voice content are handled;
- Which third-party service providers may process information;
- How long different categories of information may be retained;
- How users can request account or data deletion; and
- What privacy rights may be available under applicable law.
Nothing in these Terms is intended to replace or contradict the disclosures contained in the Privacy Policy.
If there is a conflict between these Terms and the Privacy Policy regarding the processing of personal information, the Privacy Policy will control with respect to privacy and data-processing matters, unless otherwise required by applicable law.
39. Data Storage and Security
RoadTalk uses reasonable administrative, technical, and organizational safeguards designed to protect information processed through the Service.
Depending on the type of information, RoadTalk may use third-party infrastructure and security technologies, including cloud hosting, encrypted connections, encrypted storage, access controls, authentication protections, and security monitoring.
RoadTalk currently stores core application data and media using infrastructure hosted by Amazon Web Services (“AWS”) in the United States, including the AWS us-east-1 region, subject to the practices described in the Privacy Policy.
RoadTalk uses reasonable measures designed to protect information, including encryption in transit and applicable encryption at rest.
However, no method of transmission over the Internet and no method of electronic storage is completely secure.
Accordingly, RoadTalk cannot guarantee absolute security.
You acknowledge that:
- Security risks exist whenever information is transmitted or stored electronically;
- You are responsible for protecting your authentication methods and account;
- You should use reasonable precautions when sharing information through the Service; and
- RoadTalk cannot guarantee that unauthorized persons will never defeat security measures.
In the event of a security incident, RoadTalk will respond in accordance with applicable law and its incident-response procedures.
40. Legal Compliance and Government Requests
RoadTalk may preserve, access, use, or disclose information when reasonably necessary to:
- Comply with applicable laws, regulations, court orders, subpoenas, or other valid legal processes;
- Respond to lawful requests from government authorities or law enforcement;
- Protect the rights, safety, property, or security of RoadTalk, its users, employees, or others;
- Detect, investigate, or prevent fraud, abuse, security incidents, or unlawful activity;
- Enforce these Terms or other applicable agreements; or
- Protect against legal liability.
RoadTalk will evaluate requests for information according to applicable law.
Where legally permitted and reasonably appropriate, RoadTalk may provide notice to an affected user before responding to a legal request. RoadTalk may not provide notice where prohibited by law, where an emergency or security concern exists, or where providing notice would compromise an investigation or other legitimate purpose.
Nothing in these Terms requires RoadTalk to disclose information beyond what is legally required or otherwise permitted.
41. Export Controls and Sanctions Compliance
You may not use RoadTalk in violation of applicable export-control laws, trade restrictions, embargoes, or economic-sanctions laws.
You represent and warrant that:
- Your use of the Service is lawful in the jurisdiction in which you access it;
- You will not use RoadTalk for activities prohibited by applicable sanctions or export-control laws; and
- You will not use the Service to facilitate transactions or activities prohibited by applicable law.
RoadTalk may restrict or terminate access where reasonably necessary to comply with applicable sanctions, export-control requirements, or other legal obligations.
42. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT MAY AFFECT YOUR LEGAL RIGHTS.
To the maximum extent permitted by applicable law, you and RoadTalk agree that disputes, claims, or controversies arising out of or relating to these Terms, the Privacy Policy, the Service, or your relationship with RoadTalk will be resolved through individual binding arbitration rather than through a court proceeding, except for matters that applicable law permits to be brought in court.
The arbitration agreement applies to claims arising under contract, statute, regulation, tort, or other legal theory, including claims relating to the use of the Service or the termination of an account.
Individual Proceedings
To the maximum extent permitted by applicable law:
- Arbitration will be conducted on an individual basis;
- You and RoadTalk waive the right to participate in a class action concerning covered disputes;
- You and RoadTalk waive the right to participate in a class-wide arbitration;
- Claims may not be consolidated with claims involving other users unless the parties agree or applicable law requires otherwise; and
- The arbitrator may award relief only to the individual party asserting the claim, except where applicable law permits broader relief.
Nothing in this section prevents either party from:
- Bringing an individual claim in small claims court where permitted;
- Seeking temporary or injunctive relief from a court where necessary to protect intellectual-property rights, confidential information, or prevent unauthorized access to the Service; or
- Pursuing any claim or remedy that applicable law does not permit to be arbitrated.
Arbitration Procedure
Unless the parties agree otherwise, arbitration will be conducted by a mutually agreed arbitration provider under its applicable consumer arbitration rules.
The arbitration will be conducted before a neutral arbitrator.
The arbitrator, rather than a court, will generally determine disputes concerning the interpretation, applicability, enforceability, or formation of this arbitration agreement, except where applicable law provides otherwise.
Nothing in this section is intended to prevent you from exercising rights that cannot lawfully be waived.
43. Jury Trial Waiver
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND ROADTALK WAIVE ANY RIGHT TO A TRIAL BY JURY FOR CLAIMS THAT ARE PERMITTED TO BE RESOLVED IN COURT AND THAT ARISE OUT OF OR RELATE TO THESE TERMS OR THE SERVICE.
This waiver does not apply where applicable law prohibits waiver of the right to a jury trial.
44. Governing Law
These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles, except to the extent that mandatory law in another jurisdiction applies to you and cannot legally be waived.
Nothing in these Terms is intended to deprive consumers of rights or protections that cannot lawfully be waived under the laws applicable to them.
45. Time Limit to Bring Claims
To the maximum extent permitted by applicable law, any claim or dispute arising out of or relating to the Service or these Terms must be brought within one (1) year after the event giving rise to the claim occurred.
Any claim not brought within this period will be barred to the maximum extent permitted by law.
This limitation does not apply where applicable law prohibits contractual shortening of the applicable limitations period.
46. Force Majeure
RoadTalk will not be responsible for delays, interruptions, failures, or inability to perform caused by circumstances beyond RoadTalk’s reasonable control, including:
- Natural disasters;
- Severe weather;
- Fires, floods, or other disasters;
- Internet or telecommunications failures;
- Power outages;
- Government actions or restrictions;
- Acts of war or terrorism;
- Labor disputes;
- Cybersecurity incidents or attacks;
- Failures of third-party infrastructure;
- Public-health emergencies; or
- Other circumstances beyond RoadTalk’s reasonable control.
This section does not excuse obligations that cannot legally be excused under applicable law.
47. Assignment
You may not assign, transfer, delegate, or otherwise dispose of your rights or obligations under these Terms without RoadTalk’s prior written consent, except where applicable law permits such transfer.
RoadTalk may assign or transfer these Terms, in whole or in part, without your consent in connection with:
- A merger;
- Acquisition;
- Sale or transfer of assets;
- Corporate restructuring;
- Reorganization;
- Financing transaction;
- Change in ownership; or
- Transfer of the RoadTalk business or Service to another entity.
Any successor to RoadTalk’s rights and obligations will remain subject to applicable provisions of these Terms.
48. No Waiver
If RoadTalk fails to enforce a provision of these Terms immediately, that does not constitute a waiver of RoadTalk’s right to enforce that provision later.
A waiver of any provision must be made by an authorized representative of RoadTalk and applies only to the specific circumstance for which it is given, unless expressly stated otherwise.
49. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable by a court or other authorized decision-maker, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.
If the invalid provision cannot be enforced, it will be severed to the minimum extent necessary without affecting the enforceability of the remaining Terms.
50. Entire Agreement
